GPD is currently seeking a Compliance and Legal Manager in our Independence, OH office location to provide support for GPD’s Federal Compliance Program and Contracting Requirements.
Position Summary:
The position’s primary area of focus will be to support GPD’s Federal Compliance and Contracting. The Compliance and Legal Manager will be a subject matter expert responsible for ensuring GPD’s adherence to all aspects of U.S. government contracting regulations, primarily the Federal Acquisition Regulation (FAR) and its supplements like the Defense Federal Acquisition Regulation Supplement (DFARS). This role involves a blend of legal contract review and interpretation, financial analysis and compliance, policy and procedure development, and internal training to mitigate risk and ensure legal and ethical business operations
Key Responsibilities and Duties:
Compliance Program– Lead, management and develop GPD’s Compliance Program
  • Regulatory Expertise & Guidance: Serving as the primary internal expert on FAR, DFARS, Cost Accounting Standards (CAS), and other federal contract regulations (e.g., 2 CFR Part 200, DCAA guidelines).
  • Policy and Procedure Development: Developing, implementing, and maintaining comprehensive compliance programs, policies, internal controls, and procedures to align with evolving federal requirements.
  • Audits and Investigations: Coordinating and managing internal and external audits (e.g., DCAA/DCMA audits, annual FAR compliance audits), leading investigations into potential non-compliance, and developing corrective action plans.
  • Risk Management: Identifying, assessing, and mitigating financial, legal, and commercial risks associated with government contracts and advising senior leadership on potential impacts.
  • Training and Communication: Creating and delivering training programs to various cross-functional teams to ensure awareness and understanding of compliance requirements.
  • Reporting and Documentation: Preparing and submitting required reports to regulatory agencies and senior management, ensuring all documentation is audit-ready and transparent.
  • Financial Compliance: Collaborating with finance and accounting teams to ensure compliance with cost accounting requirements, including supporting incurred cost submissions and negotiating overhead rates.
  • IT – Cybersecurity Compliance: Serve as primary subject matter expert in ever changing federal cybersecurity requirements. Be a liaison with internal IT to ensure compliance. Support in development of cybersecurity policies and procedures. Identify breaches and ensure proper protocols are followed.
  • Continued Education: Stay current with current, new and upcoming federal regulations and changes. Attend seminars, webinars and other educational portals.
Legal Support
Contracts
  • Contract Administration: Overseeing the review, negotiation, and administration of contracts, subcontracts and agreements in conjunction with business development and operations from proposal through closeout, including contract modifications. Ensure all terms and conditions and applicable flow-downs are met. Support operations on processes to address any requirements.
  • Company Federal Registrations/Certifications: Manage SAM registration, certifications, attestations and forms specific to the Federal organization.
  • Joint Venture and Teaming Agreements: Manage and oversee the review, negotiations and development of Joint Venture and Teaming Agreements whether GPD is Prime or a subcontractor.
Subcontractor Program Management
  • Program Development: Support operations with database development and tracking for subcontractors and teaming partners. This would include a rating system for future company wide use.
  • Program Management: Manage, with operations, subcontractors and partners contract compliance and assist with PO or WA’s execution. Review COI’s to ensure prime contract obligations.
  • SBE and Disadvantage Program: Manage and support business development with the development of GPD’s small business program to ensure contract requirements are met. This includes vetting proper subcontractors and diversifying the program make up. Assist with advancing and diversifying GPD’s Small Business Incubator Program.
  • Joint Venture and Teaming Management: Manage and ensure all parties are complying with the agreement requirements. Submit proper forms and documentation to the government as required.
Preferred Skills and Qualifications:
  • Bachelor’s Degree in Business Administration, Legal Studies or a related field is required; a Juris Doctor (JD) or MBA is preferred.
  • 5-8 years of relevant experience in government contracting, compliance and auditing is expected.
  • Ability to draft and review a wide variety of government contracts and agreements together with negotiating changes.
  • Experience with contract flow downs, subcontractor management and internal controls.
  • High level of expertise and knowledge of the FAR, DFAR, CMMC, CAS and other government regulations.
  • Experience with SAM.gov, SPRS, PIEE
  • Strong analytical, problem-solving, and critical thinking skills, along with excellent written and oral communication abilities are crucial for this role.
  • Ability to identify and communicate operational improvements that may be necessary for compliance requirements.
  • Proven ability to document policies, procedures, and control narratives for compliance goals.
  • Demonstrated experience developing and delivering compliance training.
  • Ability to coordinate with legal, HR, accounting, IT, business development and operations.
  • Ability to learn and interpret new federal regulations and stay knowledgeable to changes.
  • Strong administrative, organizational and management skills.
  • Ability to work in a fast-paced environment and manage multiple tasks concurrently.
  • Proven ability to manage own workload and meet tight turnaround times.
  • Some interoffice travel may be required.
  • Ability to obtain a US Security Clearance may be required.
